Pivotal acquires CRM unit of Software Spectrum

Pivotal Corp. has purchased the CRM unit of Dallas-based Software Spectrum Inc. in a $6.1 million cash-and-stock deal.

Vancouver-based Pivotal said the acquisition will complement its existing delivery of services and software to multi-channel contact centers and enterprise demand-chain networks.

Pivotal provides XML-based demand-chain networks with personalized content and services to customers across various touch points in real time. Software Spectrum's customer relationship management unit provides consulting for multi-channel contact centers, including demand-chain management and CRM consulting. The unit has had previous experience with Pivotal.

"We're picking up Pivotal expertise, interaction management experience, senior (employees) and growing our business," said Divesh Sisodraker, vice president of corporate development for Pivotal.

By acquiring the CRM arm of Software Spectrum, Pivotal also gains 50 employees trained on their systems. "We don't anticipate that integration is going to be an issue," Sisodraker said.

The acquisition also expands the company's presence in Dallas, which Sisodraker said complements existing Pivotal centers in North America. "Dallas is a location that we think is important to service our customers," he said.

Software Spectrum customers will now have the benefit of being prime Pivotal customers, and from the Pivotal customer's standpoint, they will have another contact center to rely on, according to Sisodraker.

Under the terms of the agreement, Pivotal paid about $6.1 million for all of the issued and outstanding shares of the CRM unit of Software Spectrum. The payment consists of $750,000 in cash, with the balance paid in Pivotal common shares. As a result of the transaction, Pivotal will issue approximately 140,000 shares of its common stock. The transaction will be accounted for as a purchase.

The announcement comes just days after Pivotal and Microsoft reached a three-year agreement in which Microsoft will promote Pivotal's Demand Chain Network solution suite to enterprise customers.

The two deals are unrelated.
